Role Purpose:    Provide legal advice and support the business growth and business requirements across GKN China for all existing and future GKN Aerospace/Fokker Affiliates business activities in China.        1. Ensure that legal support with respect to GKN Aerospace business activities in China is seamlessly co-ordinated with Europe and US, so that we take a consistent approach to sales and procurement contracts across the world.        Contracts Support    As part of the global GKN Aerospace Legal team and the GKN Aerospace business team in China, ensure that in relation to commercial contracts:    · We negotiate the best possible outcome.    · The contractual obligations are clear and understood by management.    · Risks are carefully managed, with risk balanced against reward.    · Potential for ambiguity is minimized.    · Effective oversight is provided by the GKN Aerospace Legal Function to ensure that risks in any contract worth over £10m is carefully managed.        Consultants and Agents – Review, negotiate and approve important consultant and agency agreements.    The role includes support on business negotiations for various contracts, and preparing and updating key form contracts for GKN Aerospace in China.        Disputes    Help manage disputes:    · Advise on strategy and tactics in respect of material disputes with a view to providing the best possible outcome for GKN Aerospace.    · Ensure that likely outcomes are understood by GKN Aerospace management.    · Manage dispute budgets.    · Help negotiate settlement where possible.        Strategic Advice and Projects    · Support corporate and other strategic initiatives, including any M&A activity in China and any factory expansion or closure.    · Support any shareholder or relationship issues with respect to any JVs or other strategic projects in China.    · Support any key strategic procurement activities by GKN Aerospace in China        Employment    · Help resolve any employee disputes.    · Ensure that employment contracts are fit for purpose.        Legal Compliance    · Seek to recognize a problem before it becomes an emergency.    · Provide advice on legal and regulatory issues.    · Support GKN's compliance programmers.    · By engagement with and support from the GKN Aerospace export control team in the US and Europe, advise and manage GKN Aerospace's business activities in China so that GKN Aerospace remains in compliance with export control laws.        Others    · Provide legal training: including anti-bribery, competition law, export control, contracts, etc.    · Support GKN Aerospace on other material legal matters as and when required with assistance from external counsel where appropriate.    · Keep up to date on new Chinese laws and regulations affecting GKN's Aerospace's business in China.    · Manage GKN Aerospace's legal documentation filings.        2.
